1. Overview

These Terms & Conditions (“Terms”) govern use of charterspace.io (the “Platform”) by all Users, including customers requesting quotes and Providers listing capacity. The EULA is incorporated by reference.

2. Definitions

  • Empty Leg — a listed, residual unit of cargo capacity on a commercial space launch.
  • Provider — an organization authorized to list Empty Legs via the Provider Portal.
  • Quote Request (RFQ) — a customer’s formal request to reserve an Empty Leg, subject to full KYC and export-control certification.
  • Booking — a confirmed reservation following provider acceptance and payment.
  • NFT Certificate — the on-chain record described in §11.

3. Eligibility

Users must be at least 18 (or the age of majority in their jurisdiction) and have authority to contract on behalf of any organization they represent.

4. The RFQ Process

  1. Customer submits an RFQ with full organization/KYC information and export-control self-certification.
  2. CharterSpace.IO forwards the RFQ to the relevant Provider and, in parallel, to platform administrators for internal review.
  3. Provider responds via direct contact (email) — the Platform does not guarantee response time or a specific outcome.
  4. No RFQ constitutes a binding reservation. A Booking exists only once Provider has confirmed and payment has been processed.

5. Pricing

Pricing is RFQ-only in this version of the Platform; no live pricing engine is offered. Membership discount tiers, where applicable, are informational stubs and do not constitute a binding discount absent separate written agreement.

6. Payments

Payments are processed via the Platform’s designated payment processor(s), which may include fiat card payments (tokenized, PCI-compliant processor — CharterSpace.IO never stores raw card data) and cryptocurrency (USDC on supported chains). Cryptocurrency payments are final and irreversible once confirmed on-chain; User is responsible for sending the correct amount to the correct address/network.

7. Cancellation, De-manifest & Refunds

Bookings may be de-manifested by the launch operator at any time (see EULA §3). The terms that apply in the event of an operator-initiated de-manifest, and the terms for a customer-initiated cancellation, are not yet published. They will be set out in this section, and disclosed to you before any payment is taken, before the Platform accepts live transactions.

8. Export Control & Prohibited Cargo

All Bookings are subject to the Prohibited Cargo Policy and applicable export control law. CharterSpace.IO reserves the right to reject or cancel any RFQ or Booking found to violate export control requirements, with or without notice, and to report suspected violations to relevant authorities as legally required.

9. Provider Terms

Providers represent that they hold all necessary authority and licensure to offer the listed capacity, that listings are accurate, and that the standard risk disclaimer (auto-applied to every listing, see Risk Disclosure) is not to be removed or altered. Providers are solely responsible for manifest decisions and operator-side compliance.

11. Blockchain & NFT Certificates

Upon Booking confirmation, an NFT Certificate may be minted recording the reservation. The NFT Certificate is a record of the reservation, not a security or investment product, and its transfer does not by itself transfer any right to cargo capacity absent Provider/Platform confirmation. Temporary usage rights (“leases”) may be granted via the certificate’s built-in lease mechanism; leasing does not transfer ownership of the certificate itself.

12. Indemnification

Indemnification terms are not yet published. They will be set out in this section before the Platform accepts live transactions.

13. Dispute Resolution

The governing law, venue and dispute-resolution terms for these Terms are not yet published. They will be set out in this section before the Platform accepts live transactions.

14. Changes to these Terms

CharterSpace.IO may amend these Terms; material changes will be notified via the Platform or email of record.
