1. Acceptance

By creating an account, submitting a quote request, or otherwise using charterspace.io (the “Platform”), you (“User”) agree to be bound by this End User License Agreement. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. Nature of the Platform

The Platform is a marketplace connecting parties seeking residual/unused cargo capacity (“Empty Legs”) on commercial space launches with launch operators and their authorized providers (“Providers”). CharterSpace.IO is not a charter broker and is not itself a Provider, does not hold, operate, or sell launch capacity, and is not affiliated with, endorsed by, or a subsidiary of any Provider. CharterSpace.IO does not operate launch vehicles, does not guarantee any launch, schedule, or cargo acceptance, and is not a party to any contract of carriage between User and Provider. 3. No Guarantee / De-manifest Rights

All listed capacity is offered on a request-for-quote basis only. Any Empty Leg listing can be withdrawn, de-manifested, delayed, or cancelled at any time, for any reason, at the sole discretion of the launch operator. CharterSpace.IO makes no representation that any listed capacity will be available at the time of quote, booking, or launch.

4. Export Control Compliance

User certifies that all cargo tendered through the Platform complies with all applicable export control laws and regulations, including but not limited to the U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR) where applicable, and equivalent regimes in User’s jurisdiction. User may not tender illegal, prohibited, or undeclared dual-use cargo without holding and disclosing any required export license. See the Prohibited Cargo Policy for details.

5. Account & KYC

Requesting a quote requires a registered account and completion of the Platform’s know-your-business (“KYB”)/know-your-customer (“KYC”) process, including organization identity, export-control self-certification, and (where applicable) supporting documentation. User represents that all information submitted is true, complete, and current.

6. License Grant

Subject to this Agreement, CharterSpace.IO grants User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. No other rights are granted.

7. Prohibited Conduct

User shall not: (a) misrepresent cargo contents or export-control status; (b) attempt to circumvent KYC/export-control checks; (c) use the Platform to facilitate any illegal transaction; (d) reverse-engineer, scrape, or interfere with Platform operation; (e) impersonate another person or organization.

8. Intellectual Property

The Platform, its content, and underlying technology are owned by CharterSpace.IO or its licensors. Nothing in this Agreement transfers any IP rights except the limited license in Section 6.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CharterSpace.IO does not warrant that any launch will occur as scheduled or at all.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARTERSPACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST CARGO, ARISING FROM USE OF THE PLATFORM OR ANY BOOKING, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Blockchain / NFT Certificates

Where a booking is confirmed, CharterSpace.IO may cause a non-fungible token (“NFT Certificate”) to be minted on a public blockchain recording the reservation. User acknowledges blockchain transactions are irreversible, gas fees may apply, and CharterSpace.IO does not control the underlying blockchain network’s availability or performance. 12. Termination

CharterSpace.IO may suspend or terminate User’s account for violation of this Agreement, including failed export-control certification or KYC misrepresentation.

13. Governing Law & Disputes

The governing law, venue and dispute-resolution terms for this Agreement are not yet published. They will be set out in this section before the Platform accepts live transactions.

14. Changes to this Agreement

CharterSpace.IO may update this Agreement; continued use after notice constitutes acceptance.
